SAFE Legal Assistance Starter Package - $3,500
Our SAFE Legal Assistance Starter package is a flat-fee option in which our lawyers will guide and help you strategically negotiate a Simple Agreement for Future Equity (SAFE) in New York, Delaware, or Nevada. Here’s how it works:
For a flat fee of US $3,500, one of our attorneys will help you determine the best strategy for negotiating a SAFE, taking into consideration your startup’s particular goals, plans and circumstances.
We will also furnish an organized closing book containing all of the fundraising documents, dilution and exit waterfall, and other package documents applicable to your entity’s negotiations.
This flat fee includes preparation and filing of your SEC Form D and state securities notice filings, including state filing fees for up to two states, and routine disbursements. Notice filings in additional states will be subject to additional costs.
This package is designed for startups looking to raise pre-seed or seed capital from accredited investors in the U.S.
If you already have a strategy in mind, or would like advice on how to negotiate a SAFE, please book a consultation with one of our lawyers using the button below.
This package is subject to additional terms and conditions. Pricing is in United States Dollars (USD) subject to applicable taxes (if any). When we assist an entity formed outside New York, our role is limited to matters within the agreed upon scope.

Shows how each SAFE (if applicable) converts at different priced-round valuations, how SAFE stacking affects founders, and the impact of an option pool top up at Series A. The model is illustrative and is not valuation, tax or financial advice.
Our attorneys will confirm the appropriate SEC exemption for your raise, which is typically Regulation D, Rule 506(b), and prepare investor questionnaires confirming that each investor is an accredited investor.
Securities Compliance
Closing Digital Book
We assemble the SAFE, and all related documents and records into a clear, organized closing book for ongoing corporate governance and compliance.
Frequently Asked Questions
-
A Simple Agreement for Future Equity (SAFE) lets an investor give your company money now, in exchange for the right to receive shares in your company later when you raise a priced equity round. A SAFE is not a loan, it carries no interest and has no maturity date.
-
An equity waterfall shows how ownership changes as SAFEs convert and new rounds close. It shows who gets paid what if the Company is sold. Our model lets you see it now, across multiple valuations and exit scenarios, so you can raise with your eyes open.
-
Investors will review your corporate records. A review of these items now allows you to fix minor gaps that could become larger problems down the road.
-
Most engagements can be completed within a few weeks. The biggest variable is usually how quickly investors review documents and sign.
-
SAFEs are in fact securities, so they must be issued under an SEC exemption from registration, which is most commonly Regulation D, Rule 506(b). Such exemption generally requires filing a Form D with the SEC within 15 days after the first issuance, plus notice filings in certain states.
